Primary Responsibilities of the Company Secretary
The company Secretary will be instrumental in ensuring the company adheres to corporate governance standards. Key Responsibilities include:
Organizing Board Meetings and Corporate Governance:
You will be responsible for preparing and distributing agendas and minutes for board meetings and committee sessions. Additionally, you will ensure decisions are executed, improving the corporate governance framework of the organizations.
Legal Compliance and Corporate Records Managements
You ill manage the corporate records, file necessary returns with the securities and Exchange commission of Pakistan (SECP), Pakistan stock Exchange (PSX), and other relevant authorities, ensuring complete legal compliance.
Facilitating Communication Between Management and Board
As the liaison between the board of directors and the company management, you will streamline communication, ensuring effective decision-making and management of internal processes.
Annual Reporting and Governance:
Support the company annual report preparation and ensure that it aligns with corporate governance requirements. you will stay updated on changes it corporate law to guide the board.
Eligibility Criteria for Company Secretary Position
To be eligible for the role of Company Secretary, candidates must meet the following qualifications and experience requirments:
- Educational Qualifications:
- Master Degree in Business, Finance, law, or commerce from an HEC-recognized university.
- OR Membership in a recognized body of corporate secretaries or professional accountants.
- Master Degree in Business, Finance, law, or commerce from an HEC-recognized university.
- Experience Required:
- 15 years of total professionals experience in corporate governance legal compliance, or a related fields in oil and gas or public sector industries.
- Experience working with large multinational organizations is a plus.
